Production Terms

These terms apply to every merchandise production order manufactured by Westwood Global LLC, d/b/a youvmerch (“youvmerch”). Where a signed agreement exists for an order, that agreement controls; these terms cover everything else.

Payment is acceptance

Paying an invoice (in full or in part) for a production order constitutes acceptance of these terms for that order.

Proof approval

Before production, youvmerch provides a digital proof: a document showing the mockup, design placement, print size, size breakdown, the Pantone colors production will print with, the shipping address, and the deadline. Your approval of the proof, through this portal or in writing, is final approval of everything the proof shows.

  • Once a proof is approved, production proceeds on the approved specifications.
  • That includes the shipping address, size breakdown, and deadline shown on the proof: check them before approving.
  • Production that reasonably matches the approved proof is conforming. Anything the approved proof shows or specifies (design, colors, Pantone selections, sizing, placement) is your approved choice and is not grounds for a refund, reprint, or claim.
  • Changes requested after proof approval may incur additional cost and time and are not guaranteed.

Refunds & reprints

All sales are final. Refunds or reprints are issued only for (a) items that do not match the approved proof, or (b) material shipping delays caused by youvmerch. Any refund or reprint is determined at youvmerch’s sole discretion, acting in good faith, and is limited to re-production or a credit rather than a cash refund where reasonable.

Your artwork

You warrant that you hold full rights to all artwork you provide, and you agree to indemnify youvmerch against any claim arising from that artwork or its use.

Shipping

Unless specified otherwise on your proposal or invoice, shipping is included and covered by youvmerch. youvmerch is not responsible for delays, loss, or damage caused by carriers once goods are tendered to the carrier.

Limitation of liability

youvmerch’s total liability for an order is limited to the amount you paid for that order. youvmerch is not liable for indirect, incidental, consequential, or lost-profit damages.

Governing law

These terms are governed by the laws of the State of New York, and the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York.
